8.1. In using the service, you must:
(a) only list real property for sale or lease.
(b) only list properties which are presently available for sale or lease and which you have been authorized to market for sale or lease.
(c) not include any promotional web addresses or other promotional material that is not directly related to your listing and your services to lease and sale the property that is the subject of that listing.
(d) not include any information that relates to a business or service that directly or indirectly competes with BuyLetRent and its related bodies corporate.
(e) ensure that any submitted material in respect of a property, accurately represents the property in question and is free from borders, watermarks (unless otherwise allowed as an exception by BuyLetRent), agent location or contact details.
(f) accurately indicate the location of the property being listed.
(g) immediately remove any properties which are no longer for sale or lease (for example properties which have been sold, leased or withdrawn from the market).
(h) only list each property for sale or lease once on the service.
(i) provide to BuyLetRent in respect of each property at least the minimum required fields for publication, as set out in clause 6 of this agreement and/or the website.
(j) ensure that you only list sale and rental listings for which you have been appointed by a vendor or lessor to sell and rent the relevant property; and
(k) only list one listing per property lot address.
8.2. BuyLetRent will not to the full extent permitted by law, be liable for error, misplacement, amendment, omission or failure to publish any listing.
9. Minimum information
9.1. The following information is the minimum information which you must submit to BuyLetRent in respect of each listing for publication on the website:
(a) street address.
(b) property type (e.g. house, apartment).
(c) title.
(d) description.
(e) number of bedrooms (except for vacant land).
(f) number of bathrooms (except for vacant land).
(g) number of car spaces (except for vacant land).
(h) images (minimum of 1).
(i) display price (may be numeric value or text, eg poa).
9.2. Where you do not provide, or authorize BuyLetRent to publish, all of the above information set out above in a listing, BuyLetRent may not publish the listing on the website.
9.3. BuyLetRent reserves the right to update the minimum required information that must be provided in respect of each listing for publication on the website by either updating this agreement or updating the field requirements on the website.?only list real property for sale or lease.
10. Property listing guidelines
10.1. BuyLetRent may, from time to time, set guidelines for how property listings will be returned in searches on the websites.
10.2. As at the date of this agreement, information that BuyLetRent uses to determine the search results includes:
(a) the provided values, property type, property attributions and relevant third-party data and sources; and
(b) for determining search results around price or price refinement, the search values that are provided within the xml feed or within the BuyLetRent agent dashboard separate to the advertised price.
10.3. BuyLetRent reserves the right to update these guidelines from time to time by either updating this agreement or making available the updated guidelines on the website.
11. Specific terms relating to leads
11.1. You acknowledge and agree that:
(a) BuyLetRent provides no warranties in relation to the number of leads (that is, enquiries for further information submitted by users of the website) you may receive; and
(b) BuyLetRent has no control over authenticity, accuracy or otherwise of any such leads.
11.2. You must:
(a) provide a valid email address in respect of each listing to which leads should be sent by BuyLetRent (or any third party with whom you have an agreement).
(b) ensure that all leads are handled by a suitably trained person in a professional and expeditious manner; and
(c) not sell, assign or otherwise provide whether electronically or otherwise any lead (or information derived from a lead) to any person.
11.3. You acknowledge that:
(a) BuyLetRent will use its best endeavours to deliver all leads to the nominated email address, or where this is not available, an alternate email address.
(b) BuyLetRent will not be liable for any delay or failure to deliver leads to you which is caused by any technical or technological fault or failure or where any delay or failure to deliver a lead is due to any third party (such as a third-party website which displays listings; and
(c) in order to accurately record the number of leads delivered for each listing, BuyLetRent retains sole control over the contact details provided by you, and you will not attempt to include any unauthorized contact details in any listing.
12. Confidentiality and privacy
12.1. Each party acknowledges and agrees that buyletrent confidential information includes:
(a) the provisions of this agreement; and
(b) all information provided by BuyLetRent to you under this agreement, including BuyLetRent technical, operational, and commercial information in relation to the supply of services.
12.2. A party must not disclose the other party's confidential information to any person except:
(a) to its professional advisers and its personnel on a need to know. Basis, but only if those persons have agreed to keep the confidential information confidential in accordance with the terms of this agreement.
(b) with the other party's prior written consent, but only to the extent that such consent is given.
(c) if required by law, or any regulatory authority or stock exchange, but only to the minimum extent required to satisfy the law or rules of the regulatory authority or stock exchange; or
(d) if it is in the public domain, other than as a result of a breach of this agreement by the recipient (with the recipient? Being the party receiving the confidential information from the party disclosing it).
12.3. You acknowledge and agree that:
(a) you must ensure that you do not, and do not allow any other person (including your users) to access or use the services in a manner contrary to the requirements of any laws.
(b) you are solely responsible for obtaining all necessary consent with respect to the collection, use, access, disclosure and storage of personal information (including sensitive information) in relation to your access or use of the services; and
(c) you will ensure that any person whose information is disclosed to BuyLetRent in the course of accessing or using the services, or otherwise in connection with this agreement, acknowledges that buyletrent handles personal information (as that term is defined in the privacy act 1988 (cth)) according to BuyLetRent privacy policy, as amended by BuyLetRent from time to time.
12.4. You agree that BuyLetRent confidential information includes all BuyLetRent account information, including user identification details and password information. You agree:
(a) to immediately change any account information if the security of the account has been compromised in any way; and
(b) that you are responsible for all transactions entered under your account, including all use of your user identification details or passwords.

20.Charges and payment
If your membership is accepted, you agree to pay the charges for the buyletrent services you select and use during the term and thereafter.
After the term expires, buyletrent may change the charges occasionally. They will notify you 30 days in advance of any increase and provide an amended price schedule.
Buyletrent will issue monthly invoices for services unless specified otherwise. Payments must be made in advance and by debit/credit card unless another payment method is agreed upon. Failure to pay may lead to service suspension until all amounts are settled.
Charges do not include vat, and in case of late payment, buyletrent reserves the right to charge interest at 8% above the bank of England's base rate per annum. Additional legal and administration fees may also apply as per the late payment legislation.
If payment is not made by the due date, buyletrent may terminate the contract or suspend services. You'll be required to reimburse all costs incurred in recovering overdue amounts, which might involve sharing member data with debt collection agencies.
In the event of contract termination due to non-payment, reapplying for membership incurs a reconnection fee of 50 per location.
You must pay all amounts due without deductions, withholding, or asserting any credit, setoff, or counterclaim against buyletrent, except as required by law.
Buyletrent reserves the right to remove your properties from the platforms if they suspect a change in your membership type or incorrect charges payment.
Buyletrent is not responsible for any telephone or additional charges incurred by a user.
21.Data ownership and use
As the proprietor and data controller of member data, when you transfer this data to buyletrent, buyletrent becomes the owner and data controller of the copy uploaded to their platforms. By uploading member data, you assign any rights or interests you have in the copy to buyletrent.
Buyletrent remains the data controller of user data in their possession. They will transfer user data to you based on certain terms outlined in the agreement. You acknowledge being a data controller of all copies of user data provided to you by buyletrent.
Both parties must adhere to relevant legislation and codes regarding member data and user data. You must ensure lawful processing of user data according to data protection law.
Both parties warrant taking appropriate technical and organizational measures against unauthorized or unlawful data processing. They also commit to ensuring compliance with these measures.
Member data must comply with requirements and be transmitted according to technical guidelines. It's your responsibility to have the necessary technical equipment to transmit member data securely to buyletrent.
Buyletrent may reformat member data for platform processing. They reserve the right to refuse or remove reformatted data that they deem inaccurate, offensive, illegal, infringing on rights, causing harm, or not conforming to guidelines.
You warrant that member data is under your ownership and control, won't negatively impact platform functionality, is free from viruses, and complies with regulations and intellectual property rights. Also, member data won't be provided unless you have a binding agency agreement.
If you engage a feed provider, they act as your data processor, and you're responsible for their actions. You must notify buyletrent promptly of any information commissioner's office notices related to user data or breaches concerning such data.
You agree to indemnify buyletrent against claims, liabilities, costs, damages, or expenses resulting from any infringement of intellectual property rights due to member data use, misuse of brand, or breaches of the agreement by you.
You are not permitted to use data sourced from BuyLetRent or referencing your relationship without prior written agreement. You must maintain the security of the platforms, change passwords regularly, and not share them with unauthorized individuals.
22.Term and termination
This contract will come into effect on the commencement date and continue for the term and, following the end of the term, continue thereafter until terminated by either party giving notice equal to the notice period. If you wish to remove a location from the services, then you must give prior written notice equal to the notice period (30 days ). Buyletrent may terminate this contract immediately if: you commit any breach of these conditions and, if that breach is capable of remedy, you fail to remedy such breach within 14 days of being notified of the breach by email; an order is made or a resolution is passed for your winding-up or an order is made for the appointment of an administrator to manage your affairs, business and property or such an administrator is appointed or documents are filed with the court for the appointment of an administrator or notice of intention to appoint an administrator is given to you by a qualifying floating charge holder (as defined in paragraph 14 of schedule b1 to the insolvency act 1986), or a receiver and/or manager or administrative receiver is appointed in respect of all or any of your assets or undertaking or circumstances arise which entitle the court or a creditor to appoint a receiver and/or manager or administrative receiver or which entitle the court to make a winding-up or bankruptcy order or you take or suffer any similar or analogous action in consequence of debt or (being an individual) are deemed either unable to pay your debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the insolvency act 1986, or (being a partnership) has any partner to whom any of the foregoing apply or (being a limited liability partnership) suffer any similar or analogous event in consequence of a debt. You undergo a change of control. You are expelled from, or cease to be a member of, a government approved redress scheme (for example, the property redress scheme) where required under the estate agents (redress scheme) order 2008, the redress schemes for lettings agency work and property management work (requirement to belong to a scheme etc.) (England) order 2014 or where you have otherwise joined such redress scheme in our reasonable opinion you carry out your business in a manner which is unbefitting of a buyletrent member (for example, you are the subject of an investigation by the competition and markets authority, trading standards or the police) or you fail to observe, perform and comply with all relevant legislation and codes; or 14 issue date: 12th December 2018 any other contract that you have in place with buyletrent or any member of its group is terminated. Without prejudice to any other rights set out in these conditions, if buyletrent has reason to suspect that you are not willing or able to comply with the terms of the contract then buyletrent can immediately suspend the provision of the services and carry out a full review of your membership and member data in order to assess your suitability as a member. You will be responsible for??buyletrent's?reasonable costs incurred in carrying out such a review. If at the end of the review buyletrent is of the opinion that you are not suitable to continue with your membership, then buyletrent may terminate the contract by serving a notice though email on you equal to the notice period. On termination of the contract for any reason. You shall immediately pay to buyletrent all of buyletrent 's outstanding unpaid invoices and interest in respect of services supplied but for which no invoice has been submitted, buyletrent shall submit an invoice, which shall be payable by you immediately. You shall return all products, materials or other items which contain??buyletrent's?brand or, at buyletrent's sole discretion and instruction, destroy all such products materials and other items; and you shall permanently erase or delete any of buyletrent's confidential information which is in your possession or control. You shall immediately cease using all of buyletrent 's intellectual property rights.
